BDC is governed by an independent Board of directors, which ensures the highest standard of corporate governance practices.

• Various committees assist the Board of directors in fulfilling its oversight responsibilities. The Board has also established governance practices to help Board members perform their duties.
  
  
• The management team executes the business strategy and oversees the day-to-day operations of BDC.
  
  
• BDC's mandate is enacted in the Business Development Bank of Canada Act, passed in July 1995.
  
  
• BDC is required to submit an annual 5-year corporate plan to the Government of Canada outlining its:
  • Objectives and purposes
  • Expected outcomes
• Annual report
